Google AdSense Online Terms of Service

1. Welcome to AdSense!

Thank you for your interest in our search and advertising services (hereinafter referred to as "services").

By using the Services, you agree to (1) these Terms of Use, (2) the AdSense Program Policies (which include, but are not limited to, the Content Guidelines, Webmaster Quality Guidelines, Ad Implementation Guidelines, and the EU User Consent Policy) the "AdSense Guidelines"), as well as (3) the Google Branding Guidelines (together the "AdSense Terms of Use"). In the event of a conflict, these Terms of Use shall take precedence over the other provisions of the Guidelines in points (2) and (3) above. Please read these Terms of Use and the rest of the AdSense Terms of Use carefully.

The terms "you" or "publisher" used in these Terms of Use mean the individual or company using the Services (or and / or an individual, agent, employee, agent, network, or mother) - or sister company, successor in title, affiliates, assignees and any other individual or company which acts on your behalf or which is under your control or direction or which is under the direction or control of the individual or company under whose control you are ). 2. Access to the services and AdSense accounts

In order to use the Services, you will need to create an AdSense account (the "Account") and we will approve it. We have the right to deny you access to the services or to restrict it. In order to verify your account, we may occasionally ask you for additional information, including your name, address and other identifying information. If you are an individual, by submitting an application to use the services, you guarantee that you have already reached the age of 18. You can only have one account. If you create multiple accounts (including those under your direction or control), you will not be eligible for further payments from Google and your accounts will be subject to termination as set out below.


By signing up for AdSense, you allow Google to provide, if applicable, (i) advertising and other content ("Ads"), (ii) Google search fields and search results, and (iii) related searches and other links to your websites, mobile applications , Media players, to your mobile content and / or to other customer objects approved by Google (each individually the "customer object"). In addition, you grant Google the right to access the customer objects using automatic processes, as well as to index them partially or completely and to store them in the cache. Google has the right to refuse to provide the services for any customer property.

Every customer object that is a software application and that accesses our services may require (a) prior written approval from Google and (b) must adhere to Google's software principles.

3. Use of our services

You may only use our services to the extent permitted by the AdSense Terms of Use and applicable law. Do not abuse our services. For example, do not interfere with our services and do not try to access them using a method other than the interface provided by us or which differs from our instructions.

You have the right to stop using one or more services at any time by removing the relevant code from your customer objects.

4. Changes to our services and changes to the AdSense Terms of Use

We are constantly changing and improving our services. We have the right to add or remove functionalities or functions of the services at any time. We can also suspend a service temporarily or completely stop it.

We have the right to change the AdSense Terms of Use at any time. We will publish any changes to these terms of use on this page and any changes to the AdSense guidelines or the Google branding guidelines on their respective pages. Changes generally take effect 14 days after they are posted. Changes that affect new functions of a service or that are made for legal reasons are excluded from this. Such changes take effect immediately. If you do not agree to the amended terms of these AdSense Terms of Service, please stop using the affected services.

5. Payment

Subject to the requirements described in this section and in section 6 of these Terms of Use, you will receive a payment equal to the number of valid clicks on ads that appear on your customer properties, the number of valid impressions of ads that appear on your customer properties or corresponds to other events that have occurred in connection with the placement of advertisements on your customer properties. This only applies if and when Google determines that your customer items comply with the AdSense Terms of Use (including any AdSense guidelines as set out in Section 1 above); this during the entire period for which payment is made and including the day on which the payment is made.

If your account is valid by the time Google makes payment, we will make payment by the end of the calendar month following the calendar month in which your balance reaches or exceeds the applicable minimum earnings for a withdrawal. If Google has verified compliance with the AdSense Terms of Service, or if your account has been suspended or canceled, payment to you may be delayed or withheld. To ensure proper payment, it is your responsibility to provide correct contact and payment information in your account and to keep it up to date.

If you integrate search services, our payments can be offset against any applicable fees for such services. In addition, we may (a) withhold payments that we owe you and offset them against payments that you owe us under these AdSense Terms of Use or on the basis of another agreement, or (b) from you within 30 days of receiving a corresponding invoice Request repayment of amounts that we have overpaid to you in previous accounting periods. Any bank charges incurred by your bank or payment service provider must be borne by you.
Without the express written permission of Google, you may not make an appointment with a third party that the third party receives any payments made to you under the AdSense Terms of Service or any other financial benefit in connection with the Services.

Payments are calculated exclusively on the basis of Google's bookkeeping. You acknowledge and agree that you are only entitled to payment for your use of our services for which Google has been paid. If for any reason Google does not receive a payment from an advertiser or reverse that payment to an advertiser, you will not be entitled to any compensation for the associated use of the Services. If an advertiser whose advertisements are displayed on a customer property defaults on a payment to Google, we are entitled to withhold payments to you or to charge your account accordingly.

Google has the right to withhold or adjust payments to you to exclude any amounts that, in Google's discretion, result from any invalid activity.

In addition, Google may reimburse or credit advertisers with some or all of the advertiser's payments associated with a publisher's account. You acknowledge and agree that in any event that Google makes such refunds or credits, you will not be entitled to any payment for any related use of the Services.

6. Termination, suspension and entitlement to further payments

Google may, at any time and without warning or notice, temporarily suspend further payments to your account, suspend or cancel a Client's participation in the Services, or suspend or terminate your account due to, among other things, invalid activity or non-compliance with AdSense policies. Google may terminate your participation in the Services and close your account if your account remains inactive for six consecutive months or more. If Google closes your account for inactivity and the balance shown on your account reaches or exceeds the applicable threshold, this balance will be paid out to you, subject to the payment terms in Section 5. If Google closes your account due to inactivity, a new application to use the services can be made.

If Google terminates your account for violating the AdSense Terms of Service (for example, causing or failing to prevent invalid activity on a customer property, or otherwise failing to adhere to AdSense policies), you will not be entitled to any further payment from Google for a previous one Use of the Services. If you violate the AdSense Terms of Service, if Google suspends your account, or if Google suspends or terminates your account, (i) you may not create a new account and (ii) you may be prohibited from profitably exploiting content through other Google products.

If you want to dispute a payment made or withheld in connection with the services you use, or if Google cancels your account and you want to contest this cancellation, you must contact Google within 30 days of such payment, non-payment or cancellation Inform the filing of an objection. If you fail to do so, you waive any right to claim the disputed payment or termination.

You can cancel your use of the services at any time by closing your account. Ten working days after Google receives your cancellation, your AdSense account is considered terminated. If you terminate your account and the amount shown in your account reaches or exceeds the applicable threshold, we will pay you this amount, subject to the payment provisions in Section 5, within approximately 90 days of the end of the calendar month in which you stopped using the Terminated services. Any amount below the applicable withdrawal threshold will not be refunded.

7. Taxes and Fees

In the contractual relationship between you and Google, Google is responsible for all taxes and fees that may affect the transactions between Google and advertisers in connection with the advertisements that are placed on the customer properties. You are, however, responsible for all taxes and fees that may apply to the services; exempt from this are taxes based on Google's net income. All payments Google makes to you in connection with the Services include any taxes (if any) and will not be adjusted.

8. Reviews

You authorize Google to carry out regular checks that may affect your use of the services. To ensure that the test results are up-to-date and correct, authorize Google to conduct such tests without prior notice.

9. Intellectual property; Brand features

Unless otherwise expressly provided in the agreement, neither party acquires any rights, claims or interests in the intellectual property rights of the other party or its licensors.

If Google makes software available to you in connection with the services, we grant you a non-exclusive, non-sublicensable license to use this software. The sole purpose of this license is to give you the opportunity to use the advantages of the services in the form in which they are provided by Google as agreed. You are not permitted to reproduce, edit, distribute, make publicly available, sell or rent any part of our services or the software supplied with it, nor are you permitted to reverse engineer the software or attempt to reverse engineer it Extract source code unless the applicable law prohibits these restrictions or you have our written permission to do so. You are prohibited from removing, obscuring or altering Google's copyright notices, trademarks or other notices of proprietary rights affixed to or contained in any Google service, software or documentation.

We are authorized to use your name and trademarks in our presentations, marketing materials, customer lists and financial reports.

10. Data protection

Our privacy policy describes how we use your personal data and protect your privacy when you use our services. By using our services, you agree that Google may use this data in accordance with our privacy policy. You and Google also agree to the Google Ads Controller Controller Privacy Policy.

Whenever you use the services, ensure that the customer objects have a clearly identified and easily accessible data protection declaration that provides end users with clear and understandable instructions on cookies, device-specific information, location-based information and all other information that is available in the Relation to the services stored, collected by or accessed on the end-user's device, including, where applicable, information about the end-user's options with regard to the management of cookies. You undertake to take commercially reasonable measures to ensure that end-users in connection with the services give their consent to the storage of and access to cookies, device-specific information, location-based information and other information available on the end-user's device, provided that a such consent is required by law.

11. Confidentiality

You agree not to disclose any confidential information from Google without our prior written consent. "Google Confidential Information" includes: (a) any Google software, technology and documentation associated with the Services, (b) click-through rates or other statistics about the performance of a Client Object on the Services, (c) the existence of, any Information on or the terms of any non-public beta or experimental features in a Service; (d) any other information provided by Google that is deemed confidential or, given the circumstances of its presentation, is usually considered confidential. Google Confidential Information does not include information that was known to you prior to your use of the services, that is made public through no fault of your own, that you have independently developed, or that you have lawfully obtained from a third party. Notwithstanding this Section 11, you may accurately disclose the gross amount of payments from Google resulting from your use of the Services.

Google may terminate this Agreement at any time or suspend or terminate the participation of Client Properties in the Services for any reason. If we terminate this agreement due to a breach of contract or an invalid activity on your part, we are entitled to withhold unpaid amounts or to charge your account back. If you breach this Agreement or if Google suspends or terminates your account, (i) you may not create a new account and (ii) you may not be permitted to profitably use content in other Google products.

12. Indemnification

You agree to hold harmless and defend Google, its affiliates, agents and advertisers in the event of third party claims and third party liability arising out of or related to the customer properties.This also applies to any content that appears on Customer Properties that is not provided by Google, your use of the Services, or your violation of any provisions of the AdSense Terms of Service. Google advertisers are beneficiary third parties of this indemnity.

13. Warranties, Guarantees and Disclaimers

You warrant and warrant that (i) you are fully entitled and authorized to enter into the AdSense Terms of Use, that (ii) you are the owner or the legal representative of the owner of each Client Item, that (iii) you are the technical and content-related Decision makers with regard to each customer property on which the services have been implemented and can control the way in which the services are implemented on each customer property that (iv) Google has never had an AdSense account created by you for a breach of the Has terminated or otherwise disabled the AdSense Terms of Service or any invalid activity on your part, that (v) entering into or performing the AdSense Terms of Service will not infringe any third party rights or contract you have entered into with any third party, and that (vi) all of you Information submitted to Google is correct and up-to-date.

UNLESS EXPRESSLY STATED IN THESE ADSENSE TERMS OF USE, WE MAKE NO COMMITMENTS REGARDING THE SERVICES. FOR EXAMPLE, GOOGLE MAY REFUSE TO PROVIDE (i) ADS AND OTHER CONTENT ("ADS"), (ii) GOOGLE SEARCH BOXES AND SEARCH RESULTS, AND (iii) RELATED SEARCH QUESTIONS AND OTHER LINKS TO YOUR CUSTOMER OBJECTS. WE DO NOT WARRANT THAT EACH PAGE WILL RECEIVE ADS OR THAT GOOGLE WILL PROVIDE A SPECIFIC NUMBER OF ADS. FURTHERMORE, WE MAKE NO OBLIGATIONS WITH REGARD TO THE CONTENT WITHIN THE SERVICES, THE SPECIFIC FUNCTIONING OF THE SERVICES, OR THEIR PROFITABILITY, RELIABILITY, AVAILABILITY OR FITNESS FOR YOUR PURPOSES. WE PROVIDE ALL SERVICES AS IS.

TO THE EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS, STATUTORY, OR IMPLIED. WE EXPRESSLY DISCLAIM THE WARRANTIES OR NON-INFRINGEMENT OF THIRD PARTY RIGHTS, MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

14. Limitation of Liability

TO THE EXTENT PERMITTED BY LAW AND EXCEPT ANY INDEMNIFICATION OBLIGATIONS UNDER THIS AGREEMENT OR THE INFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS, CONFIDENTIALITY OBLIGATIONS AND / OR COMMERCIAL PROPERTY RIGHTS WHICH MAY WITH ADSENSE TERMS RELATED TO (i) SHALL NEITHER PARTY TO THE ADSENSE TERMS FOR ANY CONSEQUENTIAL, SPECIAL DAMAGES, DIRECT DAMAGES, EXTENSIVE DAMAGES OR DAMAGES INCLUDING PENALTY ARE LIABLE, BE IT DUE TO THE CONTRACT, DUE TO DELICATE ACTION OR DUE TO ANY OTHER LIABILITY THEORY. THIS APPLIES EVEN IF SUCH A CONTRACTING PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND EVEN IF A LIMITED REMEDY HAS FAILED OF ITS ESSENTIAL PURPOSE. FURTHERMORE (ii) THE ENTIRE LIABILITY OF EACH CONTRACTING PARTY UNDER THE ADSENSE TERMS OF USE IS LIMITED TO THE NET AMOUNT THAT THE RESPECTIVE CONTRACTING PARTY GIVES IN CONNECTION WITH THE ADSENSE CONDITIONS OF USE BEFORE THE TERMS OF USE. Each contracting party acknowledges that the other contracting party has concluded the AdSense Terms of Use in reliance on the limitations of liability standardized here and that these limitations of liability are an essential basis for the agreement between the parties.

15. Miscellaneous

Entire agreement and changes. This agreement represents our entire agreement with regard to your use of the services and takes precedence over any prior or contemporaneous agreements relating to this subject matter. The AdSense Terms of Use may (i) be amended by means of a written document signed by both parties expressly designated as an amendment to these AdSense Terms of Use, or (ii) as set out in Section 4 if you continue to use the Services after Google modified the agreement.

Transmission. You may not assign or transfer any of your rights under the AdSense Terms of Use.

Independent contractors. The contracting parties are independent contractors, and the AdSense Terms of Use do not establish an agency, partnership, or joint venture.

No third party beneficiaries. Except as provided in Section 12, the AdSense Terms of Use do not create any third party beneficiary rights.

No waiver. With the exception of the provisions in Section 6, failure by either party to enforce one or more provisions of the AdSense Terms of Use does not constitute a waiver of claims.

Severability clause. If any provision of the AdSense Terms of Service is invalid or unenforceable, the remaining provisions will remain in full force and effect.

Persistence. Sections 5, 6, 8, 12, 14 and 15 of these Terms of Use will continue to apply after termination.

Applicable Law and Jurisdiction. All claims resulting from or related to the AdSense Terms of Use or the services are subject to Austrian law with the exception of its conflict of law rules and must only be brought before the court responsible for the first district of Vienna, Austria. You and Google consent to the personal jurisdiction of these courts.

Force majeure. Neither party is liable for inadequate performance of the contract insofar as this is due to a situation that is beyond the reasonable control of the respective party, for example natural disasters, acts of war or terrorism, riots, strikes, acts of the state and Internet disruptions.

Communication. In connection with your use of the Services, we may contact you for service notices, administrative messages and other information. You can turn off some of these communications in your account settings. You can find information on how to contact Google on our contact page.
